Questions to ask a broker

A good broker helps the buyer understand the process while protecting the seller. Ask direct questions early.

Mandate and authority

Ask whether the broker holds an exclusive, joint or open mandate, when it expires and whether the seller has approved the public teaser.

Confidentiality process

Ask what the NDA covers, what documents follow, who approves release and whether proof of funds is required.

Financial basis

Ask whether profit figures are seller supplied, accountant prepared, reviewed or audited. Ask which add backs were used and which documents support them.

Deal structure

Ask whether the seller prefers asset sale, share sale, seller finance, earn out, cash offer or phased handover. This helps you avoid offers the seller will not accept.

Handover

Ask how long the seller will stay, which staff are key and what customer introductions are included.
